Welcome to Mixer, Ltd. (“Mixer,” “we,” “us,” “our”). These Terms and Conditions (“Terms”) govern your use of the Mixer mobile application, website, and any related events, services, or features (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms.

1. Eligibility

• You must be at least 21 years old to use Mixer or attend events.
• You must complete a background check before attending in-person events or using the APP.
• By using Mixer, you represent that all information you provide is true and accurate.

2. Account Responsibilities

• You are responsible for maintaining the confidentiality of your login credentials.
• You agree not to share your account or impersonate another person.
• We may suspend or terminate accounts that violate these Terms.

3. Subscriptions & Payments

• Mixer charges subscription fees and/or event fees. Prices are displayed before purchase.
• All payments are final and non-refundable except where required by law.
• If you purchase through the App Store or Google Play, their payment terms apply.  

4. User Conduct

You agree not to:

• Harass, threaten, or harm others.
• Post false, misleading, or offensive content.
• Use the Services for commercial solicitation or illegal activities.

5. Background Checks & Safety

• Mixer requires background verification but cannot guarantee safety.
• Users are responsible for their interactions and should exercise caution.

6. Intellectual Property

• Mixer owns all content, logos, and trademarks related to the Services.
• You may not copy, distribute, or modify Mixer content without permission.

7. Event Participation

• Attendance is at your own risk.
• Mixer is not responsible for personal injury, illness, theft, or property damage at events.

8. Limitation of Liability

• Mixer provides the Services “as is.”
• We disclaim liability for damages resulting from user interactions, matches, or events.

9. Termination

• We may suspend or terminate your access for any violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.

Disclaimers

1. Safety Disclaimer

2. No Guarantee of Matches

Mixer does not guarantee successful matches, relationships, or outcomes.

3. Event Disclaimer

Attendance at events is voluntary and at your own risk. Mixer is not liable for injuries, losses, or damages.

4. Third-Party Services

Mixer uses third-party providers for payments, background checks, and hosting. We are not responsible for errors, delays, or damages caused by these providers.

5. “As Is” Services

Mixer provides its Services without warranties of any kind, express or implied.

Subscription Policy

Effective Date: 9/23/2025

1. Billing Cycle

• Subscriptions are billed monthly on the same calendar day as the original purchase date.
• If the purchase date falls on the 28th, 29th, 30th, or 31st, future subscription payments will be charged on the 1st day of each month.

2. Automatic Renewal

• Your subscription will automatically renew each month unless canceled at least 24 hours before the next billing date.

3. Payment Processing

• All payments are processed securely through third-party app store providers (e.g., Apple App Store, Google Play).
• Mixer does not store your complete payment details.

4. Cancellations

• You may cancel your subscription anytime through your device’s app store settings.
• No refunds will be issued for partial months or unused portions of subscriptions.

5. Changes to Fees

• Mixer reserves the right to update subscription fees with prior notice
